This page constitutes the Terms of Use (“Terms”) of the website located at https://bridge.ternoa.com (the “Site”) and the Ternoa Bridge platform which is accessible via the Site, and related services (collectively “Ternoa Bridge”). All users of Ternoa Bridge must agree to these Terms. The Terms and the documents expressly mentioned herein constitute an agreement and understanding and govern the contractual relationship between us and you. Please read and make sure you understand these Terms before using Ternoa Bridge. If you do not agree to the Terms, please stop using and continuing to use Ternoa Bridge. We also recommend that you read and understand our Privacy Policy which is incorporated into these Terms by this reference.

Ternoa Bridge is owned and operated by Capsule Corp, a simplified joint stock company (Société par actions simplifiée - SAS) under French law registered with the Bayonne Trade and Companies Register under the number 882 163 413, with its registered address located at Centre International d'Affaires 24 Boulevard Marcel Dassault 64200 Biarritz, France.

We reserve the right to make changes to these Terms from time to time for a variety of reasons, including, without limitation, compliance with applicable laws and other regulatory requirements. Therefore, we may revise the Terms at any time. For this reason, we recommend you to visit this page regularly in order to be kept updated about the revisions. Your continuation to use Ternoa Bridge after such a revision is posted will be deemed your acceptance of such revisions of the Terms.

Introduction to Ternoa Bridge

Ternoa Bridge allows you to convert CAPS between the Binance Smart Chain network (the BSC) and the Ethereum Network. You can swap your ERC20 CAPS onto the BSC as BEP20 CAPS, and vice versa. We may expand our partnership with other blockchain networks in order to make your experience with us more pleasant.

In order to use the Bridge you first have to connect your crypto wallet to Ternoa Bridge. You can connect a wallet via Metamask or Wallet Connect. Please note that we have no control over Metamask nor Wallet Connect and thus, we strongly recommend you to read the terms and conditions, as well as the privacy policy of either wallet you choose to connect to Ternoa Bridge.

Please note that you may have to add CAPS to your chosen wallet manually. In such a case, follow the steps to add a custom token to your wallet that is described on the relevant page of the website of your chosen wallet provider.

Usage Policy

You may only use Ternoa Bridge in accordance with applicable laws and regulations. You acknowledge and agree that you must not attempt to gain unauthorized access to any part of Ternoa Bridge, the server on which Ternoa Bridge or any part of it is stored, or any other server, computer, or database connected to Ternoa Bridge. You may not use a denial-of-service attack (DoS), a distributed denial-of-service attack (DDoS), or any other method to attack us.

Please be aware that you may be committing a criminal offense under applicable laws if you violate these Terms. Any and all breaches will be notified to the appropriate law enforcement agencies, and we will fully comply with them by disclosing your identity, where relevant.

Reliance on Third-Party Networks

All proposed bridging transactions must be confirmed and recorded in the associated blockchain networks in order to be completed. These are decentralized, peer-to-peer networks that are maintained by third parties that we do not own, control, or operate. Because we have no control over the Ethereum Network or the BSC ("Third-Party Networks"), we cannot and do not guarantee that any transaction details submitted via Ternoa Bridge will be confirmed and processed. By utilizing Ternoa Bridge, you acknowledge and agree that the transaction details you submit may not be completed, or may be substantially delayed, by the Third-Party Networks.

Disclaimer of Warranty

You acknowledge that you are not required to use Ternoa Bridge and you participate in Ternoa Bridge at your sole discretion. As a result, you are responsible for visiting our Site and using Ternoa Bridge. 

All information displayed on the Site is provided for informational purposes only and is not intended to provide professional advice of any nature. Capsule Corp and its third-party providers are not responsible for any errors, incompleteness, inaccuracies, delays or actions taken depending on the information contained therein.

Ternoa Bridge is provided on an "as is"  and “as available” basis, without warranty of any kind, either expressed or implied, including, without limitation, warranties that it is free of defects, merchantable, fit for a particular purpose or non-infringing. The entire risk as to the quality and performance of Ternoa Bridge is with you.

You also acknowledge that your connection to your computer or mobile device and the Internet may affect the performance and operation of Ternoa Bridge. We are not responsible for any malfunction or problem caused by your equipment, internet connection, or a third-party provider. 

We reserve the right, in our sole discretion, to temporarily disable Ternoa Bridge and/or certain parts thereof for any reasons that we deem relevant. If Ternoa Bridge goes disabled, either in part or in whole, you shall not hold us accountable for your loss of profits or revenue, loss of reputation, or business interruptions.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE OR ANY OF OUR OFFICERS, DIRECTORS, REPRESENTATIVES, AGENTS, EMPLOYEES, CONSULTANTS, LAWYERS, AND OTHER PERSONNEL AUTHORIZED TO ACT ON OUR BEHALF BE LIABLE TO YOU UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, FOR: (A) ANY LOST REVENUE, DATA LOSS, LOSS OF ANTICIPATED PROFITS, OR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER RESULTING FROM: (I) YOUR USE OF, OR CONDUCT IN CONNECTION WITH, TERNOA BRIDGE; (II) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM TERNOA BRIDGE; OR (III) ANY BUGS, VIRUSES, TROJAN HORSES, OR ANY OTHER HARMFUL AND DISRUPTIVE CODE THAT ARE FOUND IN TERNOA BRIDGE OR THAT MAY BE TRANSMITTED TO OR THROUGH TERNOA BRIDGE BY ANY THIRD PARTY, REGARDLESS OF THE SOURCE OF ORIGINATION, OR (B) ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) OF THE GREATER OF EUR 100.00.

THESE LIMITATIONS APPLY REGARDLESS OF LEGAL THEORY, WHETHER BASED ON TORT, STRICT LIABILITY, BREACH OF CONTRACT, BREACH OF WARRANTY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Intellectual Property

All intellectual property rights (Intellectual Property) on Ternoa Bridge belong to Capsule Corp or are licensed for our use. By using Ternoa Bridge, the ownership of the Intellectual Property is not granted to the user. Intellectual Property includes patents, copyrights, industrial rights, trademarks, database rights, and any of these applications, as well as moral rights, know-how, corporate secrets, domain names, URLs, trade names, and all other related rights. These include property rights and industrial property rights (and related licenses), regardless of whether they are registered, whether they can be registered, whether they survive in a particular country or region, or in other parts of the world.

The user may not do the following within the scope of applicable law:

1. Copying, distributing, publishing, reverse engineering, decompiling, disassembling, modifying or translating Ternoa Bridge, or creating secondary works from software and/or website source code.
2. Trying to access the source code for selling, transferring, sublicensing, transferring, distributing, or renting software
3. Use Ternoa Bridge in a manner prohibited by applicable law or regulation
4. Acting that harms or may harm Intellectual Property and that undermines the image or reputation of Capsule Corp, its employees, directors, officers and consultants.

Our status as the owner and author of the content (including, but without limitation to text, graphics, user interfaces, photos, audio, video, computer code and all other forms of information or data) on Ternoa Bridge (or that of identified licensors, as appropriate) must always be acknowledged. You may not use any content saved or downloaded from Ternoa bridge for commercial purposes without first obtaining a license from us (or our licensors, as appropriate) to do so.

Indemnification

You agree to indemnify and hold us and any of our officers, directors, employees, consultants, and agents harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (i) your use of Ternoa Bridge, (ii) your violation of these Terms, or (iii) your violation of applicable laws or regulations.

We retain the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Law and Jurisdiction

These Terms, and the relationship between you and us, whether contractual or otherwise, shall be governed by, and construed in accordance with French law, without regard to its conflict of law provisions.

In the event of any controversy, dispute or claim (collectively “dispute”) between you and us arising out of or in connection with your use of Ternoa Bridge, the parties shall attempt, in good faith, to resolve any such dispute among themselves in an amicable fashion. If the parties are not able to resolve any such dispute within 30 days, then either party may submit such dispute to mediation. If the dispute cannot be resolved through mediation within a month of the submission to mediation, then the parties shall be free to initiate legal proceedings and pursue any right or remedy available to them in which case the competent courts of Bayonne, France will have the jurisdiction to hear the cases.

Severability

The provisions of these Terms are independent and severable from each other. If at any time any provision of the Terms is or becomes illegal or unenforceable in any respect under the law of any jurisdiction, this does not affect or impair: a) the legality, validity, or enforceability in that jurisdiction of any other provision of these Terms; nor b) the legality, validity, or enforceability under the law of any other jurisdiction of that or any other provision of the Terms.
